1. Who these terms are with
The service is provided by Rondanini Publishing Ltd, a company registered in England and Wales (company number 16548159), with its registered office at 60 Tottenham Court Road, Suite 6438a, Fitzrovia, London, W1T 2EW, trading as OrbaOS™ (“OrbaOS”, “we”, “us”). “You” means the individual or organisation using the service. If you accept these terms on behalf of an organisation, you confirm you are authorised to do so.
2. The service
OrbaOS Instruments is a governance platform for measuring and reporting coordination capital; the OrbaOS IntApp engine performs analysis and doctrine-grounded interpretation. We may improve, change or discontinue features over time. Availability targets and bespoke commitments, where offered, are set out in your order or licence agreement.
3. Accounts and acceptable use
- You are responsible for your account, its credentials, and activity under it.
- Provide accurate registration information and keep it up to date.
- Do not misuse the service: no unlawful use, no attempts to breach security or access other tenants’ data, no reverse engineering except as permitted by law, no reselling or sublicensing without our agreement, and no use that infringes others’ rights.
- You are responsible for the lawfulness of the data you upload and for having the rights to use it.
4. Subscriptions, licences and payment
- Self-serve plans (e.g. the Diagnostic Pack and monthly platform plans) are billed through Stripe. Subscriptions renew automatically until cancelled; you can cancel before the next renewal to avoid further charges.
- Annual licences and enterprise / on-premise deployments are governed by a separate order or licence agreement, which prevails over these terms where they conflict.
- Fees are exclusive of VAT and other taxes unless stated. Except where required by law or stated in your order, fees are non-refundable; see our refund handling below.
5. Trials and refunds
Where a free trial is offered, it converts to a paid plan at the end of the trial unless cancelled beforehand. If you believe you have been charged in error, contact info@rondanini.com and we will deal with it fairly and in accordance with applicable consumer law.
6. Intellectual property
OrbaOS, the OrbaOS Instruments platform and the IntApp engine, and all related software and content, are owned by Rondanini Publishing Ltd and its licensors. OrbaOS™ is a trademark of Rondanini Publishing Ltd. The Coordination Capital Doctrine is © Luigi Pascal Rondanini. We grant you a non-exclusive, non-transferable right to use the service during your subscription or licence term. Your data remains yours — you retain all rights in the content you submit, and you grant us only the limited licence needed to operate the service for you.
7. Important: not professional advice
OrbaOS Instruments produces measurements, scores and interpretations to support governance decisions. It does not provide financial, legal, accounting, audit or regulatory advice, and its outputs are not a substitute for professional judgement or independent advice. You remain responsible for decisions you take. The IntApp engine uses automated and AI-assisted methods; while grounded in the doctrine and designed to be explainable, outputs may contain errors and should be reviewed before reliance.
8. Availability and third-party services
We aim to keep the service available but do not guarantee it will be uninterrupted or error-free. The service relies on third parties (for example hosting, payments and email); their availability is outside our control.
9. Disclaimers and limitation of liability
To the fullest extent permitted by law, the service is provided “as is” without warranties of any kind. Nothing in these terms excludes liability that cannot be excluded by law (including for death or personal injury caused by negligence, or fraud). Subject to that, we are not liable for indirect or consequential loss, loss of profits, revenue, data or goodwill; and our total liability arising out of or in connection with the service is limited to the amounts you paid us in the twelve months before the event giving rise to the claim.
10. Suspension and termination
You may stop using the service and close your account at any time. We may suspend or terminate access if you materially breach these terms or where necessary to protect the service or other users. On termination, your right to use the service ends; provisions that by their nature should survive (such as IP, disclaimers and liability) will continue.
11. Data protection
Our handling of personal data is described in our Privacy Policy. Where we process personal data on your behalf, a Data Processing Agreement is available for business customers.
12. Changes to these terms
We may update these terms from time to time. Material changes will be reflected by the “last updated” date above and, where appropriate, notified to account holders. Continued use after changes take effect constitutes acceptance.
13. Governing law
These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction, save that we may seek injunctive relief in any appropriate jurisdiction.
